Then he founded Fintool, using AI to steal business from Bloomberg and FactSet. So when he says “these moats are destroyed,” he’s not speculating — he’s been the castle lord AND the siege commander.

LLMs are systematically dismantling the moats that made vertical software valuable. But not all of them. The result is a market-wide reclassification of what deserves a premium multiple.


🏰 Ten Moats: Five Destroyed, Five Standing

Quick context: vertical software is software built for a specific industry. Bloomberg for finance, LexisNexis for legal, Epic for healthcare, Procore for construction, Veeva for life sciences.

These companies share one trait: they charge a lot and customers rarely leave. FactSet charges $15,000+ per user per year. Bloomberg Terminal costs $25,000 per seat. LexisNexis charges law firms thousands per month. Retention rates hover around 95%.

Think of it like the only convenience store in your neighborhood — everything’s a bit overpriced, but you keep going because you don’t want to walk an extra 20 minutes. Except in this case, the “extra walk” means spending two years learning a whole new system.

Nicolas breaks their defensibility into ten distinct moats, then analyzes what LLMs do to each.


❌ Moat 1: Learned Interfaces → Destroyed

Bloomberg Terminal users spent years learning keyboard shortcuts and function codes: GP, FLDS, GIP, FA, BQ. These aren’t intuitive — they’re a language. Once you’re fluent, switching platforms means becoming illiterate again.

Nicolas heard it countless times: “We’re a FactSet shop.” “We’re a Lexis firm.” “We’re Bloomberg people.” These statements have nothing to do with data quality or features — they’re about muscle memory. People invested a decade into learning this tool. That investment doesn’t transfer.

At Doctrine: He had an entire team of designers and CSMs whose job was onboarding lawyers onto their interface. Every UI change was a massive project — user research, design sprints, careful rollouts. A faceted search filter redesign alone took weeks because lawyers had built muscle memory around the old one. The interface wasn’t a feature — it was the product. Maintaining it was one of their biggest cost centers.

At Fintool: No onboarding. No CSMs. Users type what they want in plain English and get an answer. The interface is chat. That entire cost center — designers, CSMs, UI change management — simply doesn’t exist.

Think about what a financial analyst does on Bloomberg today: open the stock screener, set parameters with proprietary syntax, export results, switch to the DCF model builder, input assumptions, run sensitivity analysis, export to Excel, build the deck. Every step requires learned interface knowledge. Every step reinforces switching costs.

Now the same analyst with an LLM agent:

“Find all software companies with market cap over $1B, P/E under 30, and revenue growth above 20%. Build DCF models for the top five. Run sensitivity analysis on discount rate and terminal growth rate.”

Three sentences. No shortcuts, no function codes, no navigation knowledge. The user doesn’t even know which data source the LLM queried — and they don’t care.

When the interface becomes natural language, years of muscle memory become worthless. The switching cost that justified $25K/seat/year dissolves.

❌ Moat 2: Custom Workflows → Vaporized

Vertical software encodes how an industry actually works. A legal research platform doesn’t just store case law — it encodes citation networks, Shepardize signals, headnote taxonomies, and the entire logic of how a litigator moves from intake to oral argument.

That business logic took years to build. It reflects countless conversations with industry experts.

But here’s the thing —

LLMs turn all of this into a markdown file.

Nicolas calls this the most underestimated but long-term most lethal shift.

Traditional vertical software’s business logic lives in code: thousands of if/then branches, validation rules, compliance checks, approval workflows. Written by engineers over years — and not just any engineers. You need people who understand both the technology and the domain. Changing business logic means development cycles, QA, deployment.

At Doctrine: They built a legal research workflow to help lawyers find case law relevant to specific legal questions. The system needed to understand legal domains (civil, criminal, administrative), parse questions into searchable concepts, query multiple court databases, rank by relevance and authority, attach proper citation context. A team of engineers and legal experts built it over years. Business logic spread across thousands of lines of Python, custom ranking algorithms, and hand-tuned relevance models. Every change required an engineering sprint, code review, testing, and deployment.

At Fintool: Their DCF valuation skill tells an LLM agent how to do discounted cash flow analysis — which data to gather, how to calculate WACC by industry, which assumptions need validation, how to run sensitivity analysis, when to add back stock-based compensation. It’s a markdown file. Writing it took a week. Updating takes minutes. A portfolio manager who’s done 500 DCF valuations can encode their entire methodology without writing a single line of code.

Years of engineering versus one week of writing. That’s the shift.

And the markdown skill is better in many ways: anyone can read it, it can be audited, it can be customized per user (their clients write their own skills), and it automatically improves as the underlying model gets better — without touching a line of code.

❌ Moat 3: Public Data Access → Commoditized

A huge chunk of vertical software’s value was making hard-to-access data easy to query. FactSet made SEC filings searchable. LexisNexis made case law searchable. This was genuine value — SEC filings are technically public, but try reading a 200-page 10-K in raw HTML. Structures vary across companies, accounting jargon runs deep, extracting numbers requires parsing nested tables, following footnote references, and reconciling restated figures.

At Doctrine: They built NLP pipelines for different case law sources: NER for extracting judges, courts, legal concepts. Specialized ML models to classify rulings by legal domain. Every court had different formatting, so every court needed a custom parser. Engineers spent years building and maintaining this infrastructure. It was a real technical achievement and a real moat — replicating it meant years of work.

At Fintool: They built none of it. Zero NER, zero custom parsers, zero classifiers. Why? Because frontier models already know how to read a 10-K. They know Home Depot’s ticker is HD, understand GAAP vs. non-GAAP revenue, and can parse nested segment disclosures without being taught the schema. What Doctrine spent years building is now a commoditized capability baked into the model.

You don’t need to build a parser. The model IS the parser.

The parsing, structuring, and querying capabilities that vertical software spent decades building are now commodity features of foundation models. The data itself isn’t worthless, but that “making data searchable” middle layer — where much of the value and pricing power lived — is collapsing.

Claude or GPT can now do roughly the same thing with a single API call — and you don’t even need to maintain it. This isn’t “slightly better.” This is “your entire technical investment just became a sunk cost.”


❌ Moat 4: Talent Scarcity → Inverted

Building vertical software required people who understand both the industry and the technology. Finding someone who can write production code AND understands credit derivatives? Extremely rare. That scarcity naturally limited the number of serious competitors in each vertical.

LLMs completely invert this moat.

At Doctrine: Hiring was brutal. They didn’t just need good engineers — they needed engineers who could understand legal reasoning. How precedent works, how jurisdictions interact, what grounds for appeal to the supreme court look like. These people barely existed. So they grew them internally. Weekly lectures where lawyers taught engineers how the legal system worked. New engineers took months to become productive. Talent scarcity was a real barrier — for them and for anyone trying to compete with them.

At Fintool: None of that. Domain experts (portfolio managers, analysts) write methodology directly into markdown skill files. No Python needed. No API knowledge required. They describe what a good DCF analysis looks like in natural language, and the LLM executes it. Engineering is handled by the model. Domain expertise — always the abundant resource — can now become software directly, with no engineering bottleneck.

LLMs make engineering capability abundant, so the previously scarce combination (domain expertise + technical ability) suddenly isn’t scarce anymore. That’s why barriers to entry are collapsing so completely.

❌ Moat 5: Bundling → Weakened

Vertical software companies expand by bundling adjacent capabilities. Bloomberg went from market data to messaging, news, analytics, trading, and compliance. Each new module increases switching costs because customers now depend on the whole ecosystem, not just one product. S&P Global’s $44B acquisition of IHS Markit was this strategy — the bundle itself is the moat.

At Doctrine: Bundling was the growth strategy. They started with case law search, then added legislation, legal news, alerts, document analysis. Each module had its own UI, onboarding, and customer workflows. They built sophisticated dashboards for lawyers to set up watchlists, create automated alerts, manage research folders. Every feature meant more design, more engineering, more UI surface area. The bundle locked customers in because they’d built workflows around the entire ecosystem.

At Fintool: The agent IS the bundle. Alerts are a prompt. Watchlists are a prompt. Portfolio screening is a prompt. No per-feature modules, no UI maintenance. A customer says “notify me when any company in my portfolio mentions tariff risk in their earnings call” — and it just works. The agent orchestrates across ten different specialized tools in a single workflow. Users never know or care which services were queried.

When the integration layer moves from the software vendor to the AI agent, the incentive to buy a bundle evaporates. Why pay Bloomberg’s premium for the full suite if an agent can pick the best (or cheapest) provider for each function?

Though Nicolas is honest about this: managing ten vendor relationships vs. one is real operational complexity. Bundling won’t die tomorrow, but the direction is clear.


Alright, that’s the destruction. Now for the good news — which moats can’t LLMs break through?


✅ Moat 6: Private/Proprietary Data → Actually Stronger

Some vertical software owns or licenses data that doesn’t exist anywhere else. Bloomberg collects real-time pricing data from trading desks worldwide. S&P Global owns credit ratings and proprietary analytics. Dun & Bradstreet maintains business credit files on 500M+ entities. This data was collected over decades, often through exclusive relationships. You can’t scrape it, synthesize it, or license it from a third party.

If your data genuinely cannot be replicated, LLMs make it MORE valuable, not less.

Here’s the counterintuitive logic: the first five moats getting destroyed means more agents and startups flood the market. More players = more demand for data = supply of proprietary data stays fixed while demand explodes. Think about it — before, only Bloomberg and FactSet and maybe two others used a particular data source. Now suddenly 300 AI-native startups all need the same data.

At Doctrine: Nicolas’s team realized early that public case law alone wasn’t enough. About five years ago, Doctrine started building an exclusive content library — proprietary legal annotations, editorial analysis, curated commentary that doesn’t exist elsewhere. That content library has become the real moat. And after fully embracing LLMs, Doctrine is actually performing brilliantly. Simple reason: they have data nobody else has, and LLMs help that data get used better.

At Fintool: Nicolas saw the same thing from the other side. Fintool doesn’t own proprietary data — it connects to vendors via API. That means it has no moat at the data layer. But conversely, Bloomberg’s real-time pricing data from trading desks? Fintool can’t get that. This is why Bloomberg’s pricing power on proprietary data might actually increase.

S&P Global’s credit ratings are the same story. A credit rating isn’t just data — it’s an opinion backed by regulated methodology and decades of default data. LLMs can’t issue credit ratings. S&P can.

The test is simple: Can this data be obtained, licensed, or synthesized by someone else? If no, the moat holds. If yes, you’re in trouble.

The irony: LLMs accelerate the bifurcation. Companies with proprietary data win bigger. Companies without it lose everything.

And MCP (Model Context Protocol) is turning every data provider into a plugin. Dozens of companies are already serving financial data as MCP servers for any AI agent to query. When your data is available as a Claude plugin, the “making it accessible” premium disappears.

If your data isn’t truly unique — if it can be obtained, licensed, or synthesized — you’re not safe. The AI agent will own the customer relationship. It’ll be the interface users interact with, the brand they trust, the product they pay for. You become the agent’s supplier, not the customer’s vendor.

If Bloomberg, FactSet, and a dozen smaller providers all offer similar market data, the agent routes to whichever is cheapest. Your pricing power evaporates, margins compress. ✅ Moat 7: Regulatory Lock-in → Structural

In healthcare, Epic’s dominance isn’t about product quality — it’s HIPAA compliance, FDA certification, and the 18-month implementation cycles hospitals endure. Switching EHR vendors is a multi-year, multi-million dollar project that literally risks patient safety. In financial services, compliance requirements create similar lock-in: audit trails, regulatory reporting, data retention policies, all baked into the software.

HIPAA doesn’t care about LLMs. FDA certification doesn’t get easier because GPT-5 exists. SOX compliance requirements don’t change because Anthropic shipped a new plugin.

There’s a fascinating reverse effect here.

At Doctrine: Legal research in France isn’t as heavily regulated as healthcare, but it’s not light either. Platforms need GDPR compliance, authoritative sourcing certification, and government data access accreditation. These certifications don’t bend for AI — you can’t tell the French Ministry of Justice “our AI is really good so we’ll skip the certification.” Doctrine spent years earning these. New entrants have to walk the same path.

At Fintool: Financial regulation hits differently — Fintool serves the buy-side (hedge funds, asset managers), where regulatory barriers are much lower than sell-side. But Nicolas observed that the heavier the regulation in a vertical, the slower LLM disruption moves. Healthcare EHR is still Epic and Cerner territory, not because nobody wants to replace them with AI, but because regulators won’t let you.

Regulatory requirements may actually slow down LLM adoption in exactly the verticals where compliance lock-in is strongest. Hospitals can’t replace Epic with an LLM agent because LLM agents don’t have HIPAA certification, don’t have the necessary audit trails, haven’t passed FDA-validated clinical decision support requirements.

Epic’s CEO Judy Faulkner is probably the least worried CEO in America right now. Not because her product is amazing — because the FDA has the final word.


✅ Moat 8: Network Effects → Sticky

Some vertical software becomes more valuable as more industry participants use it. Bloomberg’s messaging feature (IB chat) is the de facto communication layer for Wall Street. If every counterparty uses Bloomberg, you have to use Bloomberg. Not because of the data — because of the network.

It’s the same reason everyone in Taiwan uses LINE — not because LINE has the best features, but because your mom, your boss, and your dentist are all on it. You can switch apps. You can’t switch your entire social graph.

At Doctrine: Legal research platforms have weaker network effects — lawyers don’t chat with each other on Doctrine. But there’s a hidden organizational effect: when every lawyer at a firm uses Doctrine, the firm’s internal research workflows, citation habits, and templates all orbit around Doctrine. New associates are trained on Doctrine from day one. It’s not the classic “more users = more value,” but it creates firm-level lock-in.

At Fintool: Fintool has no network effects — it’s a tool, not a communication platform. Nicolas is candid about this being a long-term gap. Bloomberg’s IB chat isn’t just messaging — it’s where deals start, relationships get maintained, and intelligence gets traded. LLMs can replace Bloomberg’s data queries, but they can’t replace the fact that your counterparties are all on Bloomberg.

LLMs don’t break network effects. If anything, they might make communication networks more valuable — the information flowing through them becomes training data, context, signal.

Veeva’s network effects among pharmaceutical companies, Procore’s among construction stakeholders — these are sticky because value comes from who else is on the platform, not from the interface.

Network effects are the one moat LLMs just cannot chew through. You could build a messaging app ten times better than LINE, but if your grandma isn’t on it, you won’t switch. Bloomberg IB chat works the same way — traders don’t use it because the UI is great. They use it because every counterparty, every broker, every PM is already there.

This is why I think Fintool’s biggest long-term challenge isn’t technical at all — it’s building its own network effect. Tools can be replaced. Social graphs can’t ( ̄▽ ̄)⁠/


✅ Moat 9: Transaction Embedding → Durable

Some vertical software sits directly in the money flow. Restaurant payment processing, bank loan origination, insurance claims processing. When you’re embedded in the transaction, replacing you means interrupting revenue. Nobody volunteers for that.

At Doctrine: Legal information platforms don’t sit in the money flow — they’re research tools, not payment rails. That’s why Doctrine’s moat relied mainly on interface lock-in and data advantage, both of which LLMs are eroding. Nicolas said in hindsight, he wishes Doctrine had pushed harder to embed in law firms’ billing and case management workflows.

At Fintool: Also not embedded in transactions. Fintool helps analysts research, but doesn’t handle order execution or touch money. Nicolas observed that fintech companies actually in the money flow — Stripe’s payments, Plaid’s bank connections, FIS’s transaction settlement — are nearly immune to LLM disruption. Simple reason: you can swap out a research interface with AI, but you can’t swap out “money going from A to B” infrastructure. That’s plumbing, not interface.

If your software processes payments, originates loans, or settles trades, LLMs won’t disintermediate you. An LLM might sit on top as a better interface, but the underlying rails remain indispensable.

Stripe isn’t threatened by LLMs. Neither is FIS or Fiserv. The transaction processing layer is infrastructure, not interface.

The logic here is dead simple: AI can help you decide whether to buy a stock, but when you hit “buy,” money still has to travel from your account to the exchange. That pipeline isn’t something AI replaces — it’s utilities-grade infrastructure, like water and electricity.

Nicolas himself admits he regrets not pushing Doctrine harder into law firm billing workflows. If he had, Doctrine wouldn’t just be a “research tool” — it’d be the thing where “unplug me and your revenue stops.” Lesson: whoever sits on the money is least afraid of revolution (⌐■_■)


✅ Moat 10: System of Record → Threatened Long-Term

When your software is the canonical source of truth for critical business data, switching isn’t just inconvenient — it’s existential risk. What if data gets corrupted during migration? What if historical records are lost? What if audit trails break?

Epic is the system of record for patient data. Salesforce is the system of record for customer relationships. These companies benefit from the asymmetry between the cost of staying (paying too much) and the cost of leaving (data loss, operational disruption — and in healthcare, literally risking lives).

At Doctrine: Doctrine has become the de facto system of record for legal research at some firms — lawyers’ research notes, bookmarks, and citation networks are all built inside Doctrine. That data doesn’t port. Nicolas says this is one of Doctrine’s strongest remaining defenses, because even if an LLM agent can query case law faster, the lawyer’s decade of accumulated research is still in Doctrine.

At Fintool: This is the long-term threat that worries Nicolas most — and it’s not from outside, it’s from the agent itself. As Fintool’s agent helps analysts do research, it accumulates user preferences, analysis history, decision context. Over time, the agent’s memory becomes a richer picture of the user’s work than any single system of record.

LLMs don’t directly threaten system of record status today. But agents are quietly building their own.

AI agents don’t just query existing systems. They read your SharePoint, Outlook, Slack. They write detailed memory files that persist across sessions. The agent’s memory becomes the new source of truth. Not by design — but because it’s the one layer that sees everything. Salesforce sees CRM data. Outlook sees email. SharePoint sees documents. The agent sees all three, and remembers.

📉 The Net Effect: Barrier to Entry Collapses

Alright, let’s do the math. Five moats destroyed, five still standing. Sounds like a fair 50/50, right?

But here’s the thing — it’s not a fair split at all.

The five that got blown up (interfaces, workflows, data access, talent, bundling) — what did they do? They kept competitors out. The five that survived (proprietary data, regulation, network effects, transaction embedding, system of record)? Those are privileges only a few incumbents have.

In other words: the gate got blown off its hinges, but only a few companies have the vault key inside.

Think about what it took to build a Bloomberg competitor before LLMs: hundreds of engineers who understand both finance and code (remember, those people barely exist), years of development, huge data licensing deals, a sales team that can get through the door at Goldman Sachs, plus regulatory certifications. Result? Two or three serious players per vertical, everyone coexisting peacefully.

Now? Nicolas built Fintool with six people, serving hedge funds that previously wouldn’t look at anything other than Bloomberg and FactSet. Not because the data was better — because their AI agent was simply faster and more intuitive than a terminal that takes years to learn.

So competition doesn’t go from 3 to 4. It goes from 3 to 300. Three hundred companies fighting over the same pie — how long do you think pricing power lasts?


🔪 The Real Threat: A Pincer Movement

Wait — everything above still isn’t the scariest part.

What really keeps vertical SaaS executives up at night isn’t LLMs alone. It’s a pincer attack they never saw coming. Two fronts, simultaneously, nowhere to run.

From below, swarming upward: Hundreds of AI-native startups pouring into every vertical like cockroaches. When building a credible financial data product required 200 engineers and $50M in data licensing, markets naturally settled into cozy oligopolies of 3-4 players. When all you need is 10 engineers and an Anthropic API key, those oligopolies turn into farmers’ markets overnight.

From above, pressing down: Microsoft Copilot is doing AI-powered DCF modeling directly inside Excel and contract review directly inside Word. Horizontal tools used to live in a completely different universe from vertical tools. Now AI lets them step right into vertical territory — not by hiring industry engineers, but because the model itself already knows the domain.

And then Anthropic comes in from yet another angle. Nicolas has a front-row seat because Fintool is Anthropic-backed. Claude’s vertical playbook is terrifyingly simple: a general-purpose agent harness (SDK), pluggable data access (MCP), and domain-specific skills (markdown files). Three things. That’s the entire arsenal needed to go from “knows nothing about your industry” to “competing for your customers.”

Software is becoming headless. The interface disappears. Everything flows through the agent. What matters isn’t the software — it’s who owns the customer relationship.
